Terms and Conditions | Zrubix Service Usage Guidelines

Welcome to Zrubix Solutions Private Limited. These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Zrubix Solutions Private Limited ("Company", "We", "Us"). By accessing our Enterprise Management System or engaging our services, you agree to be bound by these terms.

1. License Grant & Access

• Hosted Solution: The software remains hosted on Zrubix infrastructure. We do not provide source code, local installation files, or server access credentials to Clients under any circumstances.
• Authorized Users: Access is restricted to the specific number of users defined in your subscription plan.

2. Intellectual Property Rights

We distinguish clearly between "Platform IP" and "Client Data":

• Our Property (Platform): All source code, algorithms, logic, UI design, and development methodologies used in the Zrubix platform remain the exclusive Intellectual Property of Zrubix Solutions Private Limited. Reverse engineering, decompiling, or attempting to copy the source code is strictly prohibited.
• Your Property (Data): You retain full ownership of all business data, customer records, and files you input into the system. Zrubix claims no ownership rights over your data.

3. Third-Party Dependencies

Our platform operates as an interface bridge connecting to third-party services (specifically Zoho Corporation services).

• API Availability: We are not liable for service interruptions caused by downtime, API changes, or policy changes initiated by Zoho Corporation or other third-party providers.
• Separate Licensing: You are responsible for maintaining your own valid licenses for any SaaS products (e.g., Zoho Analytics, Zoho WorkDrive) required for the Zrubix integration to function.

4. Payment, Wallet & Credits

Usage of our services is governed by our Wallet Credit system:

• Prepaid Credits: Services and API usage are deducted from your prepaid Wallet Credits. Accounts with zero or negative balance may experience immediate service suspension.
• Non-Transferable: Wallet Credits are non-transferable and cannot be exchanged for cash, except as provided in our Refund Policy.
• Rate Changes: Zrubix reserves the right to modify Credit consumption rates (e.g., Credits per API call) with 30 days' prior notice.

5. Limitation of Liability

To the maximum extent permitted by law, Zrubix Solutions Private Limited shall not be liable for any indirect, incidental, or consequential damages, including loss of data or business interruption.

6. Termination & Data Survival

We reserve the right to suspend or terminate your access immediately if:

• You breach these Terms (including unauthorized code copying).
• You fail to make required payments or maintain Credit balance.
• You use the platform for unlawful activities.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Salem, Tamil Nadu, India.

8. Changes to Terms

Zrubix Solutions Private Limited reserves the right to modify these Terms at any time. Changes will be posted on this page, and continued use of our services constitutes acceptance of the updated Terms.
